About these Terms
These Terms govern your use of the Surtly website and services (the "Service"), operated by Surtite, Inc., a Delaware corporation ("Surtly", "we"). By using the Service or requesting a demo, you accept these Terms. If you accept on behalf of a company, you confirm you can bind it.
The Service
Surtly provides AI agents that automate B2B sales for distributors and wholesalers, integrated with WhatsApp and ERP systems. Pricing and specific terms are set in a separate agreement, which prevails if it conflicts with these Terms.
Your responsibilities
The Service is for businesses and users 18 or older. You are responsible for your account, for having your customers' consent to message them, and for following the law and the policies of platforms like WhatsApp. Do not misuse, disrupt, copy, or resell the Service.
Your data
You own the data you upload. We use it only to provide and improve the Service, as described in our Privacy Policy.
AI output
AI can make mistakes. You are responsible for reviewing the prices, stock, and orders the Service sends to your customers.
Third-party services
WhatsApp, ERPs, and other integrated platforms have their own terms. We are not responsible for their availability or actions.
Intellectual property
Surtly owns the Service, software, and brand. You may use the Service while these Terms are in effect.
No warranties and limited liability
The Service is provided "as is". To the extent permitted by law, we are not liable for indirect damages or lost profits, and our total liability is limited to the fees you paid us in the previous 12 months.
Termination
You can stop using the Service at any time. We may suspend or end your access for breach of these Terms or non-payment.
Changes
We may update these Terms and will post the new version here with a new date. Continued use means you accept the changes.
Governing law
These Terms are governed by the laws of the State of Delaware, United States. Any dispute will be subject to the exclusive jurisdiction of the Court of Chancery of the State of Delaware, in Wilmington.
